Dispute Resolution and Arbitration; Class Action Waiver

Please read this section carefully. It affects your rights.

Most concerns can be resolved quickly by contacting us at support@plutobizsolutions.com. This section facilitates prompt, efficient resolution of disputes between you and Pluto Biz Solutions. Arbitration is a form of private dispute resolution in which the parties waive their right to file a lawsuit, proceed in court, or have a jury trial, and instead submit disputes to a neutral arbitrator for a binding decision. You have the right to opt out of this arbitration provision as described below, in which case you retain the right to litigate disputes in court.

This provision states that all Disputes between you and Pluto Biz Solutions shall be resolved by binding arbitration in place of the right to go to court.

For purposes of this section, “THE COMPANY” means Pluto Biz Solutions and its parents, subsidiaries, and affiliates, and each of their officers, directors, employees, and agents. “Dispute” means any dispute, claim, or controversy between you and THE COMPANY arising from or relating to your relationship with THE COMPANY, whether based in contract, statute, regulation, tort, or any other legal theory, including the validity, enforceability, or scope of this section (with the exception of the Class Action Waiver below).

WE EACH AGREE THAT, EXCEPT AS PROVIDED BELOW, ANY AND ALL DISPUTES WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION RATHER THAN IN COURT, IN ACCORDANCE WITH THIS PROVISION.

Pre-Arbitration Claim Resolution

Before pursuing a Dispute in court or arbitration, you must first give THE COMPANY an opportunity to resolve it by mailing written notification to support@plutobizsolutions.com, including (1) your name, (2) your address, (3) a written description of your claim, and (4) the relief you seek. If THE COMPANY does not resolve the Dispute within 45 days, you may pursue arbitration.

Exclusions from Arbitration / Right to Opt Out

You or THE COMPANY may pursue a Dispute in court rather than arbitration if (a) the Dispute qualifies for small claims court, or (b) you opt out of this arbitration provision within 30 days of first agreeing to these Terms, by sending written notice to support@plutobizsolutions.com including your name, address, and a clear statement that you do not wish to resolve disputes through arbitration. Opting out will have no adverse effect on your relationship with THE COMPANY. Opt-out requests received after the 30-day deadline are not valid.

Arbitration Procedures

If the Dispute is not resolved through the process above, either party may initiate arbitration before the American Arbitration Association (AAA, www.adr.org) or JAMS (www.jamsadr.com), before a single arbitrator, on an individual (non-class) basis. For AAA arbitration, the Supplementary Procedures for Consumer-Related Disputes apply to Disputes under $75,000, and the Commercial Arbitration Rules apply to Disputes of $75,000 or more. For JAMS, the JAMS Comprehensive Arbitration Rules & Procedures apply. Because the Site, Services, and these Terms involve interstate commerce, the Federal Arbitration Act (FAA) governs the arbitrability of all Disputes.

The arbitrator may award any relief available under applicable law on an individual basis only, and the award will be final and binding, subject to any right of appeal under the FAA.

Location of Arbitration — You or THE COMPANY may initiate arbitration in the State of Indiana or the federal judicial district that includes your billing address. THE COMPANY may request to transfer arbitration to Indiana if it agrees to cover any additional costs you incur as a result.

Payment of Arbitration Fees and Costs — THE COMPANY will pay all arbitration filing fees and arbitrator costs upon your written request made before arbitration begins. You are responsible for your own additional costs, such as attorney or expert witness fees, though fees may be awarded as provided under applicable law.

Class Action Waiver

Except as otherwise provided, the arbitrator may not consolidate more than one person's claims and may not preside over any class, consolidated, or representative proceeding unless both you and THE COMPANY specifically agree to do so after arbitration begins. If you opt out of arbitration as described above, this Class Action Waiver does not apply to you.

Jury Waiver

By entering into these Terms, you and THE COMPANY each waive the right to a jury trial or a trial before a judge in a public court, except as otherwise provided above.

Severability & Continuation

If any clause of this section (other than the Class Action Waiver) is found unenforceable, that clause will be severed and the remainder given full effect. If the Class Action Waiver is found unenforceable, this entire arbitration provision will be unenforceable and the Dispute will be decided by a court. This section survives termination of your relationship with Pluto Biz Solutions.

General

Pluto Biz Solutions prefers to notify you of any non-compliance with these Terms and recommend corrective action; however, certain violations may result in immediate termination of your access without prior notice. These Terms are governed by the Federal Arbitration Act, the laws of the State of Indiana, and applicable U.S. federal law, without regard to conflict-of-laws principles. Foreign laws, the United Nations Convention on Contracts for the International Sale of Goods, and the Uniform Computer Information Transactions Act (UCITA) do not apply. Except for Disputes subject to arbitration above, disputes relating to these Terms will be heard in the courts located in Indiana.

If any provision of these Terms is found inconsistent with applicable law, it will be interpreted to reflect the parties' original intent, and all other provisions remain in effect. Pluto Biz Solutions' failure to enforce any provision is not a waiver of that provision. These Terms constitute the entire agreement between you and Pluto Biz Solutions regarding the Site and Services and supersede all prior agreements or discussions on the subject.

Pluto Biz Solutions' use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
